If your company is incorporated or registered in The Bahamas, you may have annual Economic Substance reporting obligations under the Commercial Entities (Substance Requirements) Act, 2023 (CESRA). What is CESRA?
The Commercial Entities (Substance Requirements) Act, 2023 (CESRA) is the Bahamas' economic substance legislation, introduced to ensure that entities carrying out certain geographically mobile activities have adequate economic substance in The Bahamas where required.
Entities that fall within the scope of the legislation must assess their status annually and submit an Economic Substance Report through their registered agent.
Which Entities Must File?
Generally, reporting obligations apply to entities incorporated or formed under legislation such as:
Companies Act
International Business Companies Act
Partnership Act
Partnership Limited Liability Act
Exempted Limited Partnership Act
Even if an entity ultimately determines that it is not conducting a relevant activity or is not a relevant entity, it may still be required to complete the annual reporting process through its registered agent.
Filing Deadline
The Economic Substance Report must be submitted within nine (9) months after the end of the entity's financial year.
Example:
Financial year end: 31 December
Filing deadline: 30 September of the following year
Missing the filing deadline may expose the entity to regulatory action.
What Information Must Be Reported?
The annual Economic Substance Report generally includes information such as:
Whether the entity is a Relevant Entity
Whether it carries on any Relevant Activity
If applicable:
Nature of the relevant activity
Gross income derived from the activity
Expenses incurred
Assets used in the activity
Number of employees
Whether the entity conducts its Core Income-Generating Activities (CIGA) in The Bahamas
Other information necessary to demonstrate compliance with the economic substance requirements
The exact information required will depend on the nature of the entity and its activities.
How Is the Report Filed?
The Economic Substance Report is submitted electronically by the entity's registered agent through the Bahamas Beneficial Ownership Secure Search (BOSS) System.
Companies cannot generally submit the filing directly without their registered agent.
What Happens if You Do Not Comply?
Failure to comply with the CESRA reporting requirements may result in:
Financial penalties
Additional regulatory enforcement measures
Potential administrative action affecting the entity's good standing
In serious or continuing cases, further actions permitted under Bahamian law, including possible strike-off or other sanctions where applicable
