BAHAMAS Amendments: Nominee Directors & Shareholders

We wish to inform you that amendments to the Bahamas Companies Act and the Register of Beneficial Ownership Act became effective on 19 January 2026.
In summary, the amendments stipulate that:
The use of nominee directors (i.e., directors acting under the instructions or control of third parties) is no longer permitted.
Nominee shareholder arrangements must be properly identified and reported, with the underlying principal being recognised as the beneficial owner for Beneficial Ownership purposes.
Further guidance and detailed information will be provided in due course. Where applicable, we will contact you directly to review existing structures or discuss the impact on new arrangements.
