PANAMA • CORPORATE COMPLIANCE

Panama’s new economic substance regime introduces additional requirements for certain entities receiving foreign-source passive income. For international business owners, professional advisers and family offices, the first step is to establish whether a Panamanian entity falls within scope.

Law 526 of 28 May 2026 and Executive Decree No. 32 of 2 September 2026 establish the framework. The regulations apply to fiscal periods beginning on or after 1 January 2027.

Key point: The regime targets entities incorporated or domiciled in Panama that belong to multinational groups and receive specified foreign-source passive income. Owning a Panamanian company does not, by itself, establish that these rules apply.

Which entities should review their position?

A review is particularly relevant where a Panamanian entity has ownership or control links with entities resident for tax purposes outside Panama and receives passive income from foreign activities or assets.

The assessment should consider the complete ownership structure, tax residence of related entities, consolidation arrangements and the nature of each income stream. A multinational group may consist of a relatively small cross-border structure; the analysis should not be limited to large international businesses.

The regulations define entities broadly, including companies, partnerships, trusts and foundations. A private wealth structure should therefore be assessed on its facts rather than assumed to fall outside the regime because of its legal form.

Which income requires attention?

Relevant categories include foreign-source dividends and profit distributions, interest, royalties, capital gains, income from immovable property and other returns on movable capital. The classification and source of each receipt should be checked, together with any applicable statutory exclusions or special rules.

Certain regulated financial entities, insurance and reinsurance companies, securities intermediaries, regulated investment funds and maritime activities may benefit from statutory exclusions, subject to sector-specific conditions. Eligibility should be confirmed for the particular entity; an exclusion should not be assumed solely from its business description.

Intellectual property income requires particular care because separate provisions govern qualifying intangible assets and the calculation of income eligible for non-taxable treatment.

Understanding Panama Economic Substance Requirements

Under the general framework, the entity must demonstrate substance appropriate to its activities in Panama. The principal conditions concern:

  • People and premises: appropriately qualified and remunerated personnel, and suitable physical facilities in Panama, proportionate to the activities.

  • Strategic decisions and risks: effective direction and supervision in Panama. Where the full requirements apply, the regulations require at least two meetings with physical presence in Panama during the fiscal period, supported by documentary evidence.

  • Operating costs and expenses: expenditure in Panama proportionate to the nature, scale and complexity of the relevant activities, with supporting records.

A registered office address alone should not be treated as evidence that every applicable requirement has been satisfied. Compliance depends on the activities actually performed and the documentation supporting them.

Are holding companies subject to reduced requirements?

Certain entities whose principal activity is holding equity interests, or acquiring, holding and occasionally disposing of real estate, may qualify for reduced substance requirements. Eligibility depends on their actual functions and whether they undertake substantial commercial or investment activities.

Under this treatment, qualifying entities remain subject to appropriate personnel and premises requirements, reporting obligations and applicable incorporation or registration rules. They are not automatically exempt from compliance.

For qualifying pure equity holding entities, the personnel requirement may be satisfied by having at least one appropriately qualified and remunerated director, officer or administrator resident in Panama, without hiring additional personnel. The applicable premises and reporting requirements must still be met.

For example, actively participating in the day-to-day operational decisions of investee companies, financing unrelated third parties or conducting regulated financial intermediation can affect eligibility. A “holding company” label is therefore insufficient without a review of what the entity does.

Can activities be outsourced?

The regulations permit certain functions to be outsourced to service providers in Panama, subject to conditions. The arrangement must support genuine local activity and be documented appropriately.

Strategic direction, administration and control functions reserved to the board or equivalent governing body cannot be outsourced or delegated under the general substance framework. Any proposed service arrangement should be assessed against these limits.

Reporting and the consequences of non-compliance

Entities within scope must provide the required substance information in their annual income tax return and its annexes. Records should substantiate the relevant income, personnel, premises, activities, decisions, expenditure and outsourcing arrangements, as applicable.

Supporting documentation must be retained for five years from the close of the relevant fiscal period at the entity’s Panamanian domicile, in physical or digital form, and be available to the competent authority.

Under Law 526, an entity classified as non-qualified may be subject to the exceptional 15% income tax rate on the relevant net taxable foreign-source passive income. Reporting failures can also affect qualification. The classification follows the applicable tax procedure, and any available foreign tax credit is subject to legal conditions.

What should you prepare before 2027?

  1. Map the structure: identify owners, controlled entities, tax residences and financial statement consolidation arrangements.

  2. Identify income: list each foreign passive income stream, the underlying asset and relevant agreements.

  3. Confirm the applicable treatment: assess scope, exclusions, reduced holding requirements and any intangible-asset rules.

  4. Review local arrangements: document personnel, premises, governance and any outsourced activities.

  5. Organise compliance: agree responsibilities for accounting records, supporting evidence and annual reporting with Panamanian advisers.
